The course focuses on the way companies are directed and controlled.
This course presents a set of instruments that can be used by boards to offer effective strategic direction and control to their organization.

Learning Objectives
Students develop knowledge and acquires skills on the functioning of the governance systems with particular reference to the Board of Directors.
The course aims to offer a methodology aimed at assessing the adequacy of the governance structures of Board of Directors.

Lectures with discussion of some papers and business cases.

The rule followed for assigning the graduation thesis favors students who attended the course and who obtained the best marks in the corporate governance final exam.
